These Terms and Conditions of Sale (“Terms”) govern the sale of all products (“Products”) by Ymart Stores Limited (“Ymart,” “we,” “us,” or “our”) to you, the customer (“you” or “your”). By placing an order for any Product, you agree to be bound by these Terms.

  1. Definitions

Contract: The legally binding agreement between you and us for the sale and purchase of Products, formed when your order is accepted by us.

Customer: Any person who purchases Products from us.

Intellectual Property Rights: All patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database rights, moral rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.

Order: Your offer to purchase Products from us by submitting an order through our website, in-store, or by any other means.

Product: Any good or item offered for sale by Ymart.

  1. Formation of the Contract

2.1. Order: When you place an Order with us, you are making an offer to buy the Products listed in that Order.

2.2. Acceptance: We will confirm receipt of your Order, but this does not constitute acceptance of your Order. Acceptance of your Order occurs when we dispatch the Products to you or, if you are collecting the Products in-store, when we confirm that the Products are ready for collection. At this point, a legally binding Contract is formed.

2.3. Rejection: We reserve the right to decline your Order for any reason, including but not limited to:

2.4. Changes to Orders: Once an Order has been accepted, it may not be possible to change or cancel it. Please contact us as soon as possible if you wish to amend your Order, and we will do our best to accommodate your request.

  1. Price and Payment

3.1. Price: The price of the Products will be as quoted on our Website or in-store at the time you place your Order. Prices are in UK pounds sterling (£) and include VAT (Value Added Tax) at the current rate.

3.2. Exclusions: The price does not include delivery charges, which will be added to the total amount due and shown separately during the checkout process.

3.3. Pricing Errors: While we make every effort to ensure that all prices are accurate, errors may occur. If we discover an error in the price of any Product you have ordered, we will inform you as soon as possible and give you the option of reconfirming your Order at the correct price or cancelling it. If we are unable to contact you, we will treat the Order as cancelled.

3.4. Payment: We accept various forms of payment, including major credit and debit cards and other methods as specified on our Website. Payment must be made in full before the Products are dispatched.

  1. Delivery

4.1. Delivery Locations: We deliver to addresses within the United Kingdom. We may, at our discretion, deliver to other locations, subject to additional charges.

4.2. Delivery Times: Delivery times are estimates only and are not guaranteed. We will make every reasonable effort to deliver your Products within the estimated timeframe. However, we are not liable for any delays in delivery that are outside our reasonable control.

4.3. Risk of Loss: The risk of loss or damage to the Products passes to you upon delivery.

4.4. Failed Delivery: If a delivery attempt is unsuccessful, we will leave a card with instructions on how to arrange redelivery or collection. If you fail to rearrange delivery or collect the Products within a reasonable time, we may charge you for any additional storage or redelivery costs. We reserve the right to cancel your Order and refund you the amount paid, less any costs incurred.

  1. Right to Cancel and Returns (Consumer Contracts Regulations 2013)

5.1. Cancellation Period: As a consumer, you have the right to cancel your Contract with us and return the Products for a full refund within 14 days from the day you receive the Products. This is known as the “cooling-off period.”

5.2. Notification: To exercise your right to cancel, you must inform us of your decision to cancel the Contract by a clear statement (e.g., a letter sent by post or an email). You may use our model cancellation form, but it is not obligatory.

5.3. Return of Products: If you cancel the Contract, you must return the Products to us without undue delay and in any event no later than 14 days from the day on which you communicate your cancellation to us. You will be responsible for the direct cost of returning the Products.

5.4. Condition of Products: The Products must be returned in a new and unused condition, in their original packaging, and with all tags, labels, and accessories intact. We may make a deduction from the refund for any loss in value of any goods supplied if the loss is the result of unnecessary handling by you.

5.5. Refunds: We will process the refund without undue delay and in any event within 14 days after we receive the returned Products or, if earlier, the day you provide evidence that you have returned the Products. The refund will be made using the same payment method you used for the initial transaction, unless you have expressly agreed otherwise.

5.6. Exclusions: The right to cancel does not apply to certain types of Products, including:

  1. Faulty Products (Consumer Rights Act 2015)

6.1. Your Rights: We are under a legal duty to supply Products that are in conformity with the Contract. The Consumer Rights Act 2015 gives you certain legal rights in relation to faulty or misdescribed goods.

6.2. Faulty Products: If a Product is faulty, not as described, or not fit for purpose, you have a short-term right to reject the Product and get a full refund. This right lasts for 30 days from the date of delivery.

6.3. Repair or Replacement: If the fault appears after 30 days but within six months of delivery, you are entitled to a repair or a replacement. If a repair or replacement is not possible, or if it fails, you can claim a refund (in some cases, we may make a deduction for the use you’ve had of the Product).

6.4. After Six Months: If a fault appears after six months, you are still entitled to a repair or replacement, but you will need to prove that the fault was present at the time of delivery.

6.5. How to Claim: If you believe a Product is faulty, please contact us immediately to arrange for its return and to discuss your options. We will cover the reasonable cost of returning a faulty Product.

  1. Our Liability

7.1. Limitation of Liability: Nothing in these Terms shall limit or exclude our liability for:

7.3. Total Liability: Our total liability to you in respect of all other losses arising under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total price paid by you for the Products.

8.1. Ownership: All Intellectual Property Rights in the Products and on our Website, including but not limited to images, designs, and text, are owned by Ymart or our licensors.

8.2. No Licence: You are not granted any rights or licenses in respect of any of our Intellectual Property Rights.

  1. Data Protection

9.1. Privacy Policy: We will process your personal data in accordance with our Privacy Policy, which is available on our Website. By placing an Order, you consent to this processing.

  1. General Provisions

10.1. Waiver: A waiver of any right or remedy under these Terms is only effective if given in writing and shall not be deemed a waiver of any subsequent breach or default.

10.2. Severability: If any provision of these Terms is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable, or illegal, the other provisions shall remain in force.

10.3. Entire Agreement: These Terms constitute the entire agreement between you and us and supersede all previous agreements, promises, assurances, warranties, representations, and understandings between us, whether written or oral, relating to its subject matter.

10.4. Governing Law and Jurisdiction: These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms.
